Heather Ducat focuses her practice on the representation of public companies in connection with corporate governance, Sarbanes-Oxley, securities regulations, NYSE and Nasdaq listing standards, and securities offerings (including 144A debt offerings). She has represented public companies and underwriters in securities offerings, including equity and secured and unsecured debt, exceeding $1 billion.

On July 26, the Securities and Exchange Commission (SEC) adopted, by a 3-2 margin, a final rule to require more immediate disclosure of material cybersecurity incidents by public companies. In addition, the final rule requires annual disclosure of material information regarding a public company’s cybersecurity risk management strategy and cybersecurity governance.
